1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the software products and services ("Services") provided by Zaks.io LLC ("we", "us", "our"), a California limited liability company based in San Diego, CA.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services. You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Zaks.io LLC operates developer tools for AI infrastructure. Our current products include:

• Trace Flow — an LLM observability proxy that captures metadata, costs, and request/response data from LLM API calls with zero added latency.
• Neuron — an AI chat platform with task scheduling and multi-provider LLM access.

Additional products may be introduced. Each product may have supplemental terms that apply in addition to these Terms. Where product-specific terms conflict with these Terms, the product-specific terms govern for that product.

Our Services are under active development. Features, pricing, and availability may change. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

To use certain features, you must create an account. You agree to provide accurate and complete information, maintain the security of your account credentials, and promptly notify us at support@zaks.io if you suspect unauthorized access. You are responsible for all activity under your account.

4. Billing and Payment

Paid Services are billed on a monthly subscription basis and processed through Stripe. Subscriptions auto-renew unless cancelled before the end of the current billing period.

• If a payment fails, we may provide a grace period before suspending access.
• No refunds are issued for partial months of use.
• We will provide at least 30 days' written notice before any price changes take effect.
• Usage-based credits (such as Trace Packs) are non-refundable and expire at the end of each billing period.

By providing payment information, you authorize Stripe to charge the applicable fees. Stripe's terms of service apply to payment processing.

5. Your Data

You retain ownership of all data you submit to or generate through the Services ("Your Data"). We do not claim ownership of Your Data.

If you use Trace Flow, LLM prompts and responses routed through the proxy may contain sensitive information including personally identifiable information, proprietary code, or trade secrets. You are solely responsible for ensuring that data you send through the Services complies with applicable laws and regulations. Do not send regulated data (e.g., PHI, financial PII) through the Services unless you accept the associated risk.

6. API Credentials in Transit

Trace Flow passes your LLM provider API keys through to upstream providers to authenticate requests on your behalf. Your API keys are not stored by Trace Flow — they transit the proxy and are forwarded directly to the provider.

You provide API credentials at your own risk. You are responsible for all activity conducted using credentials associated with your account. We are not responsible for unauthorized access, credential leakage, or misuse of your API keys.

7. Acceptable Use

You agree not to:

• Attempt to access another user's or organization's data
• Reverse engineer, scrape, or overload the Services
• Use the Services for any unlawful purpose
• Redistribute access credentials
• Circumvent billing controls, rate limits, or usage restrictions

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

8. Intellectual Property

Zaks.io LLC owns all rights, title, and interest in the Services, including all software, design, trademarks, and documentation. You may not copy, modify, distribute, or reverse engineer any part of the platform.

You retain all rights to Your Data, including any prompts, configurations, and specifications you provide.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THERE IS NO SERVICE LEVEL AGREEMENT. USE THE SERVICES AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAKS.IO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zaks.io LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data or content you transmit through the Services.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms, non-payment, or at our reasonable discretion with notice. You may stop using the Services at any time (see our Cancellation Policy).

Upon termination, your data will be retained for 30 days, after which it will be permanently deleted. If you need to export your data, do so before your access expires.

The following sections survive termination: Disclaimer of Warranties, Limitation of Liability, Indemnification, Intellectual Property, and Governing Law.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered under the rules of JAMS in San Diego County, California. Either party may bring qualifying claims in small claims court as an alternative to arbitration.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.

14. Changes to Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice via email to your account address. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.

15. General Provisions

These Terms constitute the entire agreement between you and Zaks.io LLC regarding the Services, superseding any prior agreements. If any provision is found to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision does not constitute a waiver. Neither party shall be liable for delays or failures caused by events beyond reasonable control (force majeure).

All data in transit is encrypted via HTTPS. Data is scoped to your organization — one organization cannot access another's data. We use industry-standard security practices but cannot guarantee absolute security. No system is 100% secure.

Depending on your jurisdiction, you may have the right to:

• Access the personal data we hold about you
• Request correction of inaccurate data
• Request deletion of your data
• Export your data in a portable format
• Opt out of body storage via the X-Trace-Flow-Omit-Body header

California residents have additional rights under the CCPA — see our California Privacy Notice. To exercise any of these rights, contact privacy@zaks.io. We will respond within 30 days.

8. Data Sharing

We do not sell, rent, or share your personal data with third parties for their own purposes. Data is shared only with the processors listed above as necessary to operate the Services. We may disclose data if required by law, court order, or government request.

9. Cookies and Tracking

• Authentication cookies: session cookies set by Auth0 to maintain your login state.
• Vercel Analytics: privacy-focused, does not use cookies, does not collect PII.
• Spam prevention: honeypot fields on signup forms (not a cookie).

We do not use advertising cookies, third-party tracking scripts, or cross-site trackers.

10. Sensitive Data

LLM prompts and responses routed through Trace Flow may contain personally identifiable information, proprietary code, trade secrets, or other sensitive content. You are responsible for what data you send through the proxy. We store this content to provide the Service but do not analyze, mine, or use it for any purpose beyond displaying it back to you.

11. International Data Transfers

Data may be processed on Cloudflare's global edge network. Convex Cloud operates in the United States. Tinybird operates infrastructure in the EU and US. By using the Services, you consent to the transfer of your data to these locations.

12. Children's Privacy

The Services are not directed at children under 13. We do not knowingly collect personal data from children. If you believe a child has provided us with personal data, contact privacy@zaks.io and we will delete it.

13. Changes to This Policy

We may update this Privacy Policy at any time. Material changes will be noted by updating the effective date above. Continued use of the Services after changes constitutes acceptance.

Subscription Billing

Our Services are provided on a subscription basis and billed monthly through Stripe according to the plan you select.

Refund Conditions

Refunds may be issued in the following circumstances:

• Billing errors where you were charged incorrectly
• Extended service outages that materially prevented you from using the Services

Refund requests must be submitted within 30 days of the charge and are evaluated on a case-by-case basis at our discretion. No refunds are issued for partial months of use. Usage-based credits (such as Trace Packs) are non-refundable.

Dispute Process

If you believe a charge is incorrect, please contact us at support@zaks.io before initiating a chargeback with your payment provider. We will respond within 5 business days and are committed to resolving billing disputes promptly. Filing a chargeback without first contacting us may result in suspension of your account.

How to Cancel

You may cancel your subscription at any time through your account settings or by contacting us at support@zaks.io. There are no cancellation fees.

Effect of Cancellation

Upon cancellation, you will retain access to the Services through the end of your current billing period. No further charges will be made after cancellation takes effect.

Data After Cancellation

Your data will be retained for 30 days following the end of your billing period, after which it will be permanently deleted. If you need to export your data, please do so before your access expires or contact us for assistance.

This notice supplements our Privacy Policy and applies to California residents under the California Consumer Privacy Act (CCPA) as amended by the CPRA.

Categories of Personal Information

• Identifiers: email address, name, IP address
• Commercial information: subscription plan, payment history, usage records
• Internet or electronic network activity: usage data, analytics, browsing interactions with our Services

Business Purposes

We collect and use personal information for the purposes described in our Privacy Policy: service delivery, billing, security, and customer support.

No Sale of Personal Information

We do not sell your personal information. We do not share your personal information for cross-context behavioral advertising.

Your Rights Under the CCPA

• Right to know: what personal information we collect and how we use it
• Right to delete: request deletion of your personal information
• Right to opt-out: of the sale of personal information (not applicable — we do not sell)
• Right to non-discrimination: we will not discriminate against you for exercising your rights

How to Exercise Your Rights

To submit a request, email privacy@zaks.io. We will verify your identity before processing your request. We may accept requests from authorized agents with proper verification. We will respond within 45 days of receiving your verified request.
